PUBLIC ISSUE OF UPTO 11,14,000 EQUITY SHARES OF FACE VALUE OF Rs. 10.00 EACH (EQUITY SHARES) OF SECMARK CONSULTANCY LIMITED (THE COMPANY OR THE ISSUER) FOR CASH AT A PRICE OF Rs3 135.00 PER EQUITY SHARE INCLUDING A SHARE PREMIUM OF Rs. 125.00 PER QUITY SHARE (THE ISSUE PRICE) AGGREGATING TO Rs. 15.04 CRORES (THE ISSUE) OF WHICH 56,000 EQUITY SHARES OF FACE VALUE OF Rs. 10.00 EACH FOR CASH AT A PRICE OF Rs. 135.00 PER EQUITY SHARE INCLUDING A SHARE PREMIUM OF Rs. 125.00 PER EQUITY SHARE AGGREGATING TO Rs. 0.76 CRORES WILL BE RESERVED FOR SUBSCRIPTION BY MARKET MAKER TO THE ISSUE (THE MARKET MAKER RESERVATION PORTION). THE ISSUE LESS THE MARKET MAKER RESERVATION PORTION i.e. ISSUE OF 10,58,000 EQUITY SHARES OF FACE VALUE OF Rs.10.00 EACH AT A PRICE OF Rs. 135.00 PER EQUITY SHARE INCLUDING A SHARE PREMIUM OF Rs. 125.00 PER EQUITY SHARE AGGREGATING TO Rs. 14.28 CRORES IS HEREINAFTER REFRRED TO AS THE ?NET ISSUE?. THE ISSUE AND THE NET ISSUE WILL CONSTITUTE 27.01% AND 25.65% RESPECTIVELY OF THE POST-ISSUE PAID-UP EQUITY SHARE CAPITAL OF THE COMPANY. THE FACE VALUE OF THE EQUITY SHARE IS Rs. 10.00 AND THE ISSUE PRICE IS 13.5 TIMES OF THE FACE VALUE OF THE EQUITY SHARES.
