The segment EBITDA grew by 39.85% YoY to Rs 268.8 crore in Q1FY27.</li><li _ngcontent-ng-c1940132427=""><strong _ngcontent-ng-c1940132427="">Others:</strong> Revenue from other businesses (project engineering/manufacturing) stood at Rs 37.7 crore in Q1FY27, a YoY decline of 25.20% from Rs 50.4 crore in Q1FY26. This segment recorded an EBITDA loss of Rs 9.5 crore in Q1FY27.</li></ul></li><li _ngcontent-ng-c1940132427=""><strong _ngcontent-ng-c1940132427="">Internal Restructuring and Acquisition:</strong> The Board accorded in-principle approval for the acquisition of 1,62,16,847 equity shares (70.26% stake) in Sudarshan Colorants India Limited (formerly Heubach Colorants India Limited). This is an internal restructuring move to shift shareholding from overseas subsidiaries directly to the Company.</li><li _ngcontent-ng-c1940132427=""><strong _ngcontent-ng-c1940132427="">Fundraising:</strong> The Company approved raising funds up to USD 60 million through the issuance of Foreign Currency Convertible Bonds (FCCBs) on a private placement basis.</li><li _ngcontent-ng-c1940132427=""><strong _ngcontent-ng-c1940132427="">Borrowing Limits:</strong> The Board approved an increase in overall borrowing limits under Section 180(1)(c) of the Companies Act, 2013, up to Rs 1,000 crore.</li><li _ngcontent-ng-c1940132427=""><strong _ngcontent-ng-c1940132427="">Conversion of Warrants:</strong> During Q1FY27, the Allotment Committee approved the allotment of 9,80,000 equity shares to Mr. Rajesh Balkrishna Rathi (Promoter) upon the exercise of warrants.
