The Board noted that the sale and transfer of this business to its wholly owned subsidiary, Metropolis Quality Solutions Private Limited, is now expected to take an additional 2 (two) months beyond the original 6 (six) month timeline.</li><li _ngcontent-ng-c1006311636="">The Board of Directors issued and allotted 15,54,95,826 Bonus Equity Shares during the period in a ratio of 3:1 (Three new fully paid-up shares for every one existing share of face value Rs 2 each).</li><li _ngcontent-ng-c1006311636="">During the quarter, the Nomination and Remuneration Committee approved the grant of 14,236 Restricted Stock Units (RSUs) and 2,12,345 Employee Stock Options to eligible employees under the Group's 2025 plans.</li><li _ngcontent-ng-c1006311636="">Business acquisitions include the consummation of the Dapic Metropolis Healthcare Private Limited acquisition on 23 May 2025 for Rs 346.10 million and the finalization of the Scientific Metropolis Pathology Private Limited acquisition for Rs 645.00 million on 16 June 2025.</li><li _ngcontent-ng-c1006311636="">The acquisition of Ambika Pathology Laboratory in Kolhapur, Maharashtra, was completed on 18 September 2025 for a total consideration of Rs 170.00 million.</li></ul><p><strong>Ameera Shah, Promoter and Executive Chairperson, Metropolis Healthcare, said:</strong> "The diagnostics industry is consolidating around trusted, science-led providers as patients increasingly prioritise quality, accuracy and specialised care.
