Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company, at its meeting held today, i.e., Friday, October 30, 2026, has considered and approved the allotment of 7,26,829 Fully Convertible Warrants ("Warrants"), each convertible into 1 (one) fully paid-up equity share of the Company having a face value of Rs. 10/- (Rupees Ten only), at an issue price of Rs. 82/- (Rupees Eighty-Two only) per Warrant, comprising a face value of Rs. 10/- and a premium of Rs. 72/- per Warrant, aggregating to Rs. 5,95,99,978/- , on a preferential basis, for cash, to Mr. Mukesh Goel, belonging to the Promoter category, in accordance with Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and the applicable provisions of the Companies Act, 2013 and the Rules made thereunder.
