This is to inform that the Company has filed certified copy of Order of NCLT pronounced on April 29, 2022, sanctioning Scheme of Amalgamation, along with Form INC-28 with the Registrar of Companies, today i.e. on May 31, 2022 and the Scheme of Amalgamation has become effective.

Pursuant to Regulations 30 and 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'), fixed 10th June, 202as the record date for the purpose of determining the shareholders of the Company (other than for shares already held by Mukand in the Company) to whomshares of Mukand will be allotted pursuant to the Scheme of Amalgamation. The shareholders of the Company shall be eligible to receive 5 (five) fully paid up equity shares of Rs. 10/- each of Mukand Limited for every 13 (thirteen) fully paid up equity shares of Rs. 10/- each of the Company held by such shareholders as on the Record Date.
