The Scheme became effective on July 30, 2026. The Company will allot 9% cumulative non-convertible redeemable preference shares as bonus shares to equity shareholders on the Record Date of August 22, 2026.</li><li _ngcontent-ng-c3377174747=""><strong _ngcontent-ng-c3377174747="">Preference Share Details:</strong> The bonus issue includes two series: Preference Shares – Series I (4 shares of Rs 10 each for every 1 equity share of Rs 2 held) and Preference Shares – Series II (3 shares of Rs 10 each for every 1 equity share of Rs 2 held).</li><li _ngcontent-ng-c3377174747=""><strong _ngcontent-ng-c3377174747="">Increase in Authorised Share Capital:</strong> Consequent to the scheme, the authorised share capital of the Company has increased from Rs 12,00,00,000 to Rs 3,28,84,06,160.</li><li _ngcontent-ng-c3377174747=""><strong _ngcontent-ng-c3377174747="">Property Development Project:</strong> The Company disclosed a cost of Rs 2,455.66 lakh towards a one-off residential property development project located at Dombivali, Thane, Maharashtra.</li><li _ngcontent-ng-c3377174747=""><strong _ngcontent-ng-c3377174747="">Subsidiary Performance (CADINI S.R.L.):</strong> The wholly-owned subsidiary CADINI S.R.L. has incurred recurring losses, leading to a reduction in its net worth. Continuation of its operations is dependent on management’s business plans and necessary financial support or recapitalisation. For Q1FY27, this subsidiary reflected a total income of Rs 109.04 lakh and a net loss after tax of Rs 23.83 lakh.</li></ul><p><strong>Gaurav Poddar, Executive Director, Siyaram Silk Mills, said:</strong> “During Q1FY27, demand remained stable despite some moderation in wedding and occasion-led consumption due to the Adhik Maas period. Consumers continued to adopt a valueconscious approach to spending, while inflationary pressures on input costs also persisted during the quarter. Despite these factors, our strong brand portfolio and diversified product offerings helped us maintain steady progress across our businesses.</p><p>During Q1FY26, we further strengthened our retail footprint with the addition of 3 ZECODE and 2 DEVO stores. This expanded our network to 30 ZECODE and 19 DEVO outlets. We remain confident in achieving our targeted store count of total 70 stores across both brands by FY27, supported entirely through internally generated cash flows.</p><p>Our financial performance during the quarter reflected the strength of our business fundamentals, with total income growing to Rs 466 crore from Rs 400 crore in the corresponding period last year. The business revenue mix was led by Fabric at 71%, followed by Garments at 19% and Yarn & Others at 10%. EBITDA stood at Rs 40 crore with a margin of 8.6%, while Profit After Tax was Rs 33 crore, corresponding to a PAT margin of 2.4%.</p><p>As we move into the festive season, we anticipate an improvement in consumer demand and spending sentiment.
