The National Stock Exchange (NSE) is set to begin a series of investor meetings across India and overseas as it prepares for its proposed initial public offering (IPO), according to Reuters. The exchange plans to present its long-term growth strategy to more than 30 global institutional investors, with roadshows scheduled to begin this month.

The IPO process gathered momentum after NSE filed its draft offer documents last month. According to Reuters, the listing is expected around October, subject to regulatory approvals. The exchange declined to comment beyond stating that it has submitted its IPO papers for regulatory clearance.

Focus On India’s Expanding Capital Markets

As part of its investor presentations, NSE is expected to position itself as a beneficiary of India’s growing financial markets and increasing retail participation.

According to Reuters, the exchange projects annual growth of 12% in cash equities and equity futures trading over the next five years. It also expects equity options trading across the market to expand by 10% annually.

The presentation further outlines growth expectations of 15% for currency derivatives, 20% for interest-rate derivatives, 10% for commodity derivatives and another 10% for the corporate bond market. These projections are based on the exchange’s internal assessments.

NSE also intends to highlight that capital market participation in India remains relatively low compared with several major global economies, leaving room for further expansion.

Strong Position Across Market Segments

The exchange currently accounts for 100% of equity futures trading, 93% of the cash equity market and 75% of equity options trading, according to the investor presentation reviewed by Reuters.

Reuters had earlier reported that the NSE IPO could be valued at nearly $3.3 billion. Existing shareholders are expected to sell around 6% of their holdings through the public issue, as outlined in the draft offer documents.

While BSE’s revenue increased 88% during the latest financial year, NSE reported a 3% decline in revenue following regulatory measures affecting derivatives trading. Despite the decline, NSE’s revenue remains nearly six times larger than that of BSE.

Roadshows To Cover Multiple Financial Centres

According to Reuters, senior NSE executives will first meet institutional investors in India before travelling to Singapore, Malaysia and Hong Kong later this month. The final phase of investor meetings is expected to take place in the U.S., the UAE and London during the following month.

The exchange’s public listing has been delayed for several years due to regulatory proceedings linked to allegations regarding equitable market access. As disclosed in its draft IPO papers, NSE has sought to settle the remaining proceedings by offering to pay approximately $158 million.

The draft documents also identify several business risks, including regulatory and policy changes, taxation, rupee depreciation and weaker market conditions that could affect trading volumes and investor participation.

The planned investor roadshows represent the next major step in the NSE IPO process as the exchange seeks regulatory approval and engages institutional investors before its anticipated market debut.
