Prudential plc on Sunday announced that it will acquire a controlling 75% stake in Bharti Life Insurance for ₹3,500 crore from Bharti Life Ventures Pvt Ltd and 360 ONE Asset Management.

The transaction will be carried out through Prudential’s existing resources, according to the company statement. The deal remains subject to regulatory approvals and other closing conditions.

Stake Purchase Through Multiple Transactions

Prudential said the acquisition will increase its presence in India’s insurance sector through a majority holding in Bharti Life Insurance.

The company currently holds around 22% stake in ICICI Prudential Life Insurance as part of its existing partnership with ICICI Bank. Prudential stated that regulatory requirements may require it to reduce its holding in ICICI Prudential Life to below 10% following completion of the Bharti Life transaction.

The company added that it is in discussions with regulatory authorities regarding the process and timeline for any required divestment.

Bharti Life Valuation And Future Plans

The proposed transaction values Bharti Life Insurance at around ₹7,000 crore to ₹8,000 crore, based on market estimates linked to the deal structure.

According to the company statement, there is also a possibility of additional consideration of up to ₹700 crore, depending on fulfilment of specified conditions.

Prudential said Bharti Life Insurance will continue focusing on expanding life and health insurance offerings across India. The company also plans to strengthen distribution channels through potential agreements with Bharti Airtel and 360 ONE.

Companies Comment On Transaction

Bharti Enterprises Chairman Sunil Bharti Mittal said the partnership is expected to support the next phase of growth for Bharti Life Insurance.

Prudential plc Chief Executive Officer Anil Wadhwani said India remains a strategically important market for the company and the acquisition will combine Prudential’s global insurance operations with Bharti’s domestic presence.

360 ONE Managing Director and Chief Executive Officer Karan Bhagat said the transaction reflects Bharti Life Insurance’s operational growth and future business potential.

After completion of the transaction, Prudential’s India operations will include majority ownership in Bharti Life Insurance and Prudential HCL Health Insurance, along with minority holdings in listed financial services companies.
