To take up, reconsider, and evaluate the proposal for fund raising by way of issue of securities / equity shares / convertible instruments through Qualified Institutional Placement (QIP), private placement / preferential issue, rights issue, or through any other permissible mode and/or combination thereof, which could not be concluded in the previous Board Meeting held on Monday, October 26, 2026, and was deferred for further deliberations, subject to statutory and shareholder approvals. 3. Any other business matter with the permission of the Chair.

The Board of Directors initiated discussions and evaluation on the agenda item pertaining to fund raising by way of issue of securities/instruments. However, due to the requirement for detailed examination and further deliberations on various structural and commercial modalities, the discussion could not be concluded in today's meeting and no final decision/outcome could be arrived at. Accordingly, the Board has decided to defer the matter and conduct further discussions on the fund-raising proposal at the upcoming Board Meeting scheduled on Thursday, November 5, 2026.
