Coal India has submitted the Red Herring Prospectus for the proposed initial public offering of its wholly owned subsidiary, Central Mine Planning and Design Institute Limited to the Securities and Exchange Board of India, according to an exchange filing dated March 12.

The filing was also made with the BSE and the National Stock Exchange of India in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. According to the company, the IPO will consist entirely of an offer for sale of up to 10.71 crore equity shares by Coal India.

IPO Structure And Share Sale

The public issue has been structured as a complete offer for sale. Under this structure, shares of CMPDIL will be floated by Coal India in the market, while no fresh shares will be issued by the subsidiary company itself.

Therefore, no funds will be raised by CMPDIL from the public issue. The entire transaction will be carried out by the parent company through the sale of its shareholding in the subsidiary. 

Coal India, in its filing, has mentioned that the announcement has been made to promote transparency and to communicate information to market participants in a timely manner. The proposed IPO by Coal India is subject to certain approvals.

Earlier IPO Filing

Coal India had earlier submitted the draft red herring prospectus for CMPDIL’s IPO to the Securities and Exchange Board of India on May 26, 2025. At the time of the draft filing, the state-owned company had proposed to sell 7.14 crore shares through the offer-for-sale route, according to exchange disclosures.

The planned listing forms part of Coal India’s broader strategy to unlock value from its subsidiaries and expand investor participation in specialised segments of the mining and consultancy business.

CMPDIL mainly offers consultancy and engineering services in the area of coal exploration, mine planning, mine design, environmental management, and development of mineral resources.
Business Operations Of CMPDIL

Central Mine Planning and Design Institute Limited is a consultancy and technical services organisation for the coal and mining industry.

The company provides services such as exploration, mine planning, infrastructure design, environmental management, and geomatics services for open-cast and underground mines. CMPDIL also assists in research and development work for the Ministry of Coal and has eight laboratories situated in the main coalfields of India.
Financial Performance

As per the company announcement, CMPDIL has recorded revenue of approximately ₹2,102 crore in FY25, which is a 23% increase from the previous year.

Profit after tax for the same period rose 33% to ₹600 crore, with a reported profit margin of 30.6%. Coal India’s filing noted that the IPO process will move forward after regulatory review and other procedural steps are completed.
