Goldiam International Reports Share Capital Position Following July Bonus Issue

Goldiam International Limited has reported total issued equity share capital of 15,05,57,125 shares as of 30 September 2026, following the allotment of bonus shares during the July-September quarter.

The company's latest Reconciliation of Share Capital Audit Report, submitted to the National Stock Exchange (NSE) and BSE on 15 October 2026, provides details of its issued capital, dematerialised holdings and changes in share capital during the reporting period.

The audit report was prepared by R.N. Shah & Associates, Practising Company Secretaries, and is dated 14 October 2026.

One of the principal disclosures concerns Goldiam International's bonus issue, under which 3,76,39,281 equity shares were allotted on 13 July 2026.

The allotment was made in the ratio of 1:3, meaning shareholders received one bonus equity share for every three existing equity shares held.

Goldiam International's Share Capital as of September 2026

The reconciliation report records the company's issued share capital at 15.06 crore equity shares, each having a face value of ₹2.

Its listed capital stood at ₹30,11,14,250.

The audit provides the following distribution of shares across the depository and physical holding systems:

Particulars Number of shares Share of issued capital
NSDL 12,11,12,118 80.44%
CDSL 2,90,23,057 19.28%
Physical certificates 4,21,950 0.28%
Total 15,05,57,125 100.00%

The figures indicate that most of the company's issued equity shares were held electronically.

NSDL accounted for the larger portion of dematerialised holdings, representing 80.44% of the issued capital. Another 19.28% was held through CDSL.

Only 0.28% remained in physical form as of the end of the reporting period.

Together, the two depositories accounted for approximately 99.72% of Goldiam International's equity shares.

Goldiam International's 1:3 Bonus Share Allotment

The audit identifies the allotment of 3,76,39,281 bonus shares as the change in share capital recorded during the September quarter.

Goldiam International completed the allotment on 13 July 2026, granting one additional equity share for every three shares held by eligible shareholders.

The audit records that an application for listing the bonus shares was made and that the shares were listed on the stock exchanges.

It also confirms that the relevant information was communicated to both NSDL and CDSL.

The report records no in-principle approval as pending for the bonus issue.

A bonus issue increases the number of shares held by eligible shareholders without requiring a fresh cash contribution from them.

Although the total number of shares increases, the bonus allotment does not itself result in fresh funds being raised by the company.

For existing shareholders receiving their proportionate entitlement, the bonus shares increase the quantity held without changing their proportionate ownership solely because of the allotment.

Share Capital Audit Reports No Pending Dematerialisation Delays

Apart from recording the bonus issue and the composition of shareholdings, the audit reviewed the status of dematerialisation requests and the company's register of members.

The report confirmed that the register of members was updated.

It also recorded no requests confirmed after 21 days and no dematerialisation requests pending for more than 21 days.

The auditor reported no excess dematerialised shares requiring resolution from the preceding quarter.

These observations relate specifically to the securities reconciliation and dematerialisation records reviewed for the quarter.

The report does not contain an assessment of Goldiam International's financial performance or its operating outlook.

Goldiam International's Regulatory Filing Details

The company submitted the reconciliation audit under Regulation 76 of the SEBI (Depositories and Participants) Regulations, 2018.

This requirement deals with the reconciliation of securities held in physical and dematerialised form with a company's issued and listed capital.

The audit was conducted by R.N. Shah & Associates and signed by Rajnikant N. Shah.

Goldiam International identified MUFG Intime India Private Limited as its common agency for share registry work.

The exchange filing was signed by Company Secretary and Compliance Officer Pankaj Parkhiya.

For the September 2026 quarter, the report confirms that Goldiam International's issued share capital comprised 15.06 crore equity shares following the July bonus allotment, with the overwhelming majority held in dematerialised form.
