PVR INOX commenced its ₹300 crore buyback plan on September 10 Thursday, enabling those shareholders who qualify to tender their shares against a fixed price of ₹1,450 per share.

This movie theatre chain intends to buy back nearly 21 lakh equity shares via tender offer process. The buying window will remain open till September 17.

Not every shareholder is eligible to participate in the tender offer. The eligibility criteria have been decided based on September 4 as record date. This means the stockholders must have hold PVR INOX shares on September 4 in order to become eligible for buyback plan.

At ₹1,450, the buyback price is about 24% higher than the closing price of ₹1,171.35 on September 9.

The stock responded well on Thursday and gained 3.2% to touch an intra-day high of ₹1,210 on BSE.

How Many Shares Can Investors Tender?

PVR INOX has set separate entitlement ratios for small shareholders and investors in the general category.

Small shareholders are entitled to tender 9 shares for every 157 shares held on the September 4 record date.

For shareholders in the general category, the entitlement stands at 21 shares for every 1,108 shares held.

The company’s promoters and promoter group have also indicated that they intend to participate. They can tender a maximum of 5.69 lakh shares in the buyback.

The entitlement ratio, however, should not be confused with guaranteed acceptance. Shareholders can tender some or all of their eligible shares, but the final number accepted will depend on the buyback process and applicable acceptance ratio.

What Could an Eligible Shareholder Receive?

The report illustrates the potential payout using an investor holding 157 shares.

Under the small-shareholder entitlement ratio, such an investor can tender 9 shares. If all nine are accepted at ₹1,450 each, the shareholder would receive ₹13,050.

For an investor who had bought the 157 shares at ₹1,247.50 apiece, the total investment would have been ₹1,95,857.50.

The acquisition cost of the nine shares tendered would be ₹11,227.50. If all nine are accepted at the buyback price, the gross difference would be ₹1,822.50 before applicable taxes.

The actual outcome can differ because all tendered shares may not necessarily be accepted. Tax implications also need to be considered when calculating the eventual post-tax return.

Key Buyback Dates

The tender window runs from September 10 to September 17.

Verification of tendered shares is scheduled to be completed by September 21. PVR INOX is expected to communicate final acceptance or rejection to the stock exchanges by September 23.

Payment to shareholders whose shares are accepted is scheduled for September 24. Shares that are not accepted are also expected to be returned by September 24.

Eligible shareholders can submit bids through a BSE-registered stockbroker using the exchange’s separate buyback window.

PVR INOX Shares Recover After Recent Pressure

The buyback comes after a volatile period for PVR INOX shares.

The stock had fallen more than 3.5% over the previous week following a report concerning an internal investigation into alleged kickbacks involving the development of cinema properties.

PVR INOX subsequently said its promoters had received anonymous notes in early April alleging impropriety involving certain employees. The company engaged external third-party experts to conduct a preliminary assessment.

The company said the preliminary examination did not indicate evidence of kickbacks. It also said former growth and investment CEO Pramod Arora resigned on May 4 citing personal reasons and was not asked to leave.

Despite the recent volatility, PVR INOX shares have gained around 5% over the past month and nearly 20% so far in 2026. The stock is up a little over 7% over the past year.

For eligible shareholders, attention now shifts to the September 17 closing date and, ultimately, the number of tendered shares accepted under the ₹300 crore buyback.
