CMS Info Systems Shareholders Approve All Eight Resolutions at 19th AGM

All eight resolutions brought before the CMS Info Systems shareholders at the firm's 19th Annual General Meeting held on September 21, 2026, were passed. 

The AGM was held using video conferencing and other audio-visual facilities, attended by 51 shareholders. The total number of shareholders in CMS Info Systems was 1,63,420 as of the September 14 cut-off date for voting. 

E-voting was conducted remotely and was accessible from September 18 at 9 am until September 20 at 5 pm. All those shareholders who did not vote within this time period were provided with another chance to vote in the AGM, which was open for another 15 minutes after the meeting. 

Mukesh Siroya of M. Siroya and Company was nominated as the scrutinizer. According to the scrutiny report of the scrutinizer, all resolutions were passed with requisite majority. 

Firstly, the shareholders voted for the approval of audited standalone and consolidated financial statements for the year ended March 31, 2026. 

Both the resolutions passed with 99.9978% vote in favor. Unanimous voting of public institutional shareholders was registered, whereas there was opposition from public non-institutional shareholders amounting to only 1,994 votes in each case.The resolution covering confirmation of the interim dividend and approval of the final dividend for FY26 received 99.9995% support, with 8,99,93,314 votes in favour and 434 votes against. 

Shareholders also approved the reappointment of Krzysztof Wieslaw Jamroz as a Non-Executive, Non-Independent Director. This proposal received 95.8004% votes in favour, the lowest approval level among the eight resolutions. A total of 86,213,640 votes supported the proposal, while 3,779,306 votes were cast against it. 

William Poole VIII was appointed as an Independent Director for a three-year term through a special resolution. The proposal received 99.9968% support, with 89,990,054 votes in favour and 2,892 votes against. 

The remuneration payable to S K Agarwal & Associates, Cost Accountants, for FY27 was also ratified. That resolution received 99.9967% votes in favour. 

Two special resolutions dealing with the company’s borrowing and security limits were also passed. 

The proposal to approve the company’s borrowing limits under Section 180(1)(c) of the Companies Act received 99.9943% support, with 5,106 votes cast against it. 

The resolution allowing the creation of mortgage or charge over the company’s assets, properties or undertakings was approved with 99.9939% of votes in favour and 5,500 votes against. 

Institutional shareholders voted 100% in favour of seven of the eight resolutions. The exception was the reappointment of Krzysztof Wieslaw Jamroz, where institutional support stood at 95.2018%. 

The voting results were submitted to both BSE and the National Stock Exchange on September 21 along with the consolidated scrutinizer’s report. CMS Info Systems said the results would also be made available on its website.
