Compounding Asset Partners, founded by former Motilal Oswal Asset Management Company chief investment officer Niket Shah, is preparing for a possible entry into India's mutual fund industry.
The investment firm is in advanced discussions to raise around ₹350 crore at a post-money valuation of ₹1,200 crore, Moneycontrol reported on 2 November, citing people familiar with the talks. The transaction has not yet been finalised.
The proposed capital raise is expected to involve corporate executives, private equity investors and Shah. Part of the money would be used to establish an asset management company and pursue a mutual fund licence from SEBI.
Compounding Asset Partners is expected to seek registration through SEBI's alternative eligibility route. Under the 2026 Mutual Fund Regulations, this route does not impose the conventional profitability requirement but requires the sponsor to ensure that the AMC has net worth of at least ₹150 crore at registration. The initial capital contribution up to the prescribed amount is also subject to a five-year lock-in.
Shah left the Motilal Oswal group in July 2026 after a long stint covering research, fund management and investment leadership roles.
The proposed fundraise and regulatory application remain subject to completion of the transaction and SEBI approval. A fundraising plan by itself does not constitute approval to operate a mutual fund.
