JSW Dulux Abandons Postal Ballot Voting for Share Split Proposals; Decision Awaits

JSW Dulux (formerly known as Akzo Nobel India) has conducted shareholder voting on three proposals, including share split proposal related to the face value of its equity shares.
e-Voting through remote facility closed by 5 pm on September 20, thus ending the period during which e-Voting facility was made available, which started on August 22.
JSW Dulux has not revealed yet whether any of the resolutions have been passed. The decision will be declared after the scrutinizer completes the process of reporting.
What shareholders voted on
Three resolutions have been proposed for the consideration of shareholders through postal ballot.
Proposed sub-division of face value of shares was an ordinary resolution proposal. An ordinary resolution for altering the Capital Clause of Memorandum of Association was proposed as well.
The special resolution for altering the Capital Clause of Articles of Association was proposed as well.
The postal ballot notice was dated August 11 and was submitted to the stock exchanges on August 21.
August 7 was used as the cut-off date to determine shareholder eligibility, while National Securities Depository Limited provided the remote e-voting facility.
A K Labh, Practicing Company Secretary and proprietor of A K Labh & Company, was appointed as scrutinizer for the voting process.
Following the September 20 closure of voting, the scrutinizer is expected to submit his report within the stipulated 48-hour period. JSW Dulux will declare the postal ballot results after receiving that report.
Until those results are released, the September 21 disclosure confirms only that voting has concluded; it does not establish whether the proposed share split or the other two resolutions have received shareholder approval.
