Key Takeaways

  • Two merger schemes involving 28 wholly owned Power Grid subsidiaries have received confirmation from the Regional Director under the Ministry of Corporate Affairs.
  • Seventeen subsidiaries will merge into POWERGRID Ghiror Transmission Limited.
  • Eleven subsidiaries will merge into POWERGRID South Olpad Transmission Limited, with both schemes effective from November 2, 2026.

Power Grid Corporation of India Limited has received regulatory confirmation for an internal restructuring that will consolidate 28 wholly owned subsidiaries into two other wholly owned subsidiaries.

In an exchange filing on November 3, the state-owned transmission company said the Regional Director, Northern Region Directorate I, Ministry of Corporate Affairs, had issued two separate confirmation orders dated November 2, 2026.

28 Companies Consolidated Under Two Subsidiaries

Under the first scheme, 17 wholly owned subsidiaries will be amalgamated into POWERGRID Ghiror Transmission Limited.

These include POWERGRID Kudankulam Transmission, POWERGRID Barmer I Transmission, POWERGRID Bikaner IV Transmission, POWERGRID Siwani Transmission, POWERGRID Fatehgarh Barmer Augmentation Transmission and several other transmission entities.

A second group of 11 wholly owned subsidiaries will merge into POWERGRID South Olpad Transmission Limited. This group includes POWERGRID Sirohi Transmission, POWERGRID Mandsaur Transmission, POWERGRID Mewar Transmission, POWERGRID Kurawar Transmission and other project-specific entities.

Schemes Effective From November 2

According to the confirmation orders, both schemes became effective on November 2, 2026.

The transaction represents an internal reorganisation because both the transferor companies and the two receiving companies are wholly owned subsidiaries of Power Grid.

Power Grid's board had approved the schemes on March 19, 2026. Earlier regulatory disclosures described the same two groups of subsidiaries and identified POWERGRID Ghiror Transmission and POWERGRID South Olpad Transmission as the respective transferee companies.

Consolidating numerous project-specific subsidiaries into a smaller corporate structure can simplify the organisation of underlying transmission assets and administrative entities. However, Power Grid's latest disclosure does not quantify any financial impact or expected cost savings from the merger.

The immediate development is therefore the receipt of the necessary confirmation orders and the schemes becoming effective.
