Italian Regulator Approves Tata Motors' Offer for Iveco Shares
Last Updated: 4th September 2026 - 05:25 pm
Tata Motors has received approval from Italian market regulator Consob for its voluntary tender offer covering all common shares of Iveco Group. The approval allows the acceptance process to begin on September 7.
The offer will be made through TML CV Holdings, an indirect wholly owned subsidiary of Tata Motors. Shareholders have been offered €14.10 per Iveco share on a cum-dividend basis, according to a stock-exchange filing by the company.
Iveco investors can tender their shares between September 7 and October 26, unless the timeline is extended. Shareholders who participate during this period are expected to receive payment on October 30, which is the fourth trading day after the offer closes.
The company said the acceptance window may reopen for five trading days, from November 2 to November 6, if legal requirements permit. Payments for shares tendered during this additional period are expected on November 13.
Tata Motors said further details on the publication and distribution of the offer document, along with the participation process, will be provided separately.
The offer will be launched in Italy and will also be extended to shareholders in the United States in line with applicable American securities regulations. It will not be launched in Canada, Japan, Australia or any other jurisdiction where additional regulatory approvals would be required.
Tata Motors announced its proposed acquisition of Iveco in July 2025. The latest approval relates to the offer process being carried out through the company's commercial-vehicle holding entities.
The offer remains subject to the terms and conditions specified for the transaction.
