Emirates Telecommunications Group Co. has agreed to sell its entire stake in Vodafone Group Plc to an investment vehicle controlled by the family of French billionaire Xavier Niel in a transaction valued at nearly $6 billion.
The company said it will divest its full holding of more than 16% in Vodafone. The agreed consideration values the stake at approximately 112.5 pence per share, comprising a cash payment along with entitlement to a future dividend.
The transaction marks a significant change in Vodafone’s shareholder base, with Xavier Niel’s family investment vehicle set to become one of the telecom company’s largest investors following completion of the deal.
Emirates Telecommunications, also known as e&, had built its position in Vodafone over the past few years as part of its international investment strategy. The sale represents the group’s exit from its investment in the U.K.-based telecom operator.
The agreed price of 112.5 pence per share includes both the immediate cash component and a future dividend payment, taking the total transaction value to almost $6 billion.
The deal remains subject to the customary closing conditions and regulatory approvals, where applicable. Once completed, ownership of the more than 16% stake will transfer to the investment vehicle controlled by Xavier Niel’s family.
The transaction is one of the larger telecom sector stake sales announced this year and reflects continued activity involving strategic holdings in major European telecommunications companies.
