Reliance Industries Ltd. has received an administrative warning from the Securities and Exchange Board of India (SEBI) in connection with share transactions carried out by two employees and an immediate relative of one employee, according to an exchange filing made by the company.

The warning was issued through a letter dated June 24, which the company said it received from the National Stock Exchange (NSE) on Monday. The matter relates to trades in Reliance Industries shares executed in July 2024 while the individuals concerned were allegedly in possession of unpublished price-sensitive information (UPSI).

SEBI Flags Compliance Lapse

In its communication, SEBI said the matter had been viewed seriously and warned the company for non-compliance with applicable regulatory provisions.

The regulator advised Reliance Industries to strengthen its compliance framework and prevent similar instances in the future. SEBI also stated that failure to improve compliance standards could result in action under the SEBI Act, 1992, and the regulations framed under it.

The warning pertains to employee share dealings and does not relate to the company’s financial reporting or business operations.

Company Says Warning Is Cautionary

Reliance Industries said it will take the necessary measures to address the issues highlighted by the market regulator.

The company clarified that the communication is administrative in nature and does not impose any monetary penalty, operational restriction or business limitation.

“The company will take necessary steps to address the concern mentioned in the SEBI letter. SEBI’s letter is cautionary in nature and does not impose any financial or operational restrictions on the company,” Reliance Industries said in its filing.

No Impact on Business Operations

The company indicated that the warning does not affect its day-to-day operations, management or financial position.

Administrative warnings are generally issued by the regulator to highlight compliance deficiencies and direct companies to strengthen internal controls. Such communications do not automatically result in penalties or enforcement actions, although SEBI has stated that repeated or future violations could invite action under the applicable legal framework.

The disclosure was made in line with listing requirements after Reliance Industries received the communication through the stock exchange. The company has stated that it will undertake the necessary compliance measures to address the regulator’s observations and avoid similar instances going forward.
