Arkade Developers disclosed a cash consideration of ₹145.51 crore for the transaction. Woollen and Textile Industries had a net worth of ₹199.91 crore as of March 31, 2026, while turnover for FY26 stood at ₹0.18 crore.

The company classified the acquired entity as being in the real estate business and said the transaction was intended to facilitate smoother expansion of Arkade's operations and support the development and growth of its real estate portfolio.

The acquisition is not a related-party transaction, according to the filing, and no separate regulatory approvals were required.

Bhandup Acquisition Moves From Proposal to Completion

The deal follows Arkade's earlier plan to acquire Woollen and Textile Industries. In September 2025, the developer had announced a memorandum of understanding for the proposed acquisition at an indicated consideration of ₹148 crore.

That announcement said the transaction included a 14,363.60 square metre land parcel in Bhandup West. In a subsequent management discussion, Arkade indicated that the site could have a potential gross development value of around ₹1,000 crore.

The final completed acquisition price of ₹145.51 crore is therefore slightly below the ₹148 crore consideration indicated when the transaction was initially proposed.

For Arkade Developers, the acquisition adds another asset to its presence in Mumbai's central suburbs and gives the company complete ownership of the entity holding the underlying real estate interest.
