Indoco Remedies has allotted 14,850 equity shares to the Indoco Employees Welfare Trust under the Indoco Remedies Limited Employee Stock Option Plan 2022. The company's Nomination and Remuneration Committee approved the allotment at its meeting on 27 October 2026.
Each share has a face value of ₹2. Following the allotment, Indoco Remedies' paid-up equity share capital increased from ₹18,46,07,210, comprising 9,23,03,605 shares, to ₹18,46,36,910, comprising 9,23,18,455 shares. The new shares represent an increase of about 0.016% over the pre-allotment share count.
How the Indoco Remedies ESOP allotment works
The shares have been issued to the company's employee welfare trust rather than being transferred directly to employees at this stage. Indoco said the ESOP Trust will allocate or transfer the shares to eligible employees when options and restricted stock units, or RSUs, are exercised.
The annexure filed with the exchanges lists an issue price or exercise price of ₹2 per share for the 14,850 shares and a total amount of ₹29,700. The company classified the transaction as an ESOP allotment involving issuance of equity shares to the Indoco Employees Welfare Trust.
Indoco's Employee Stock Option Plan 2022 was approved by shareholders at the company's 75th annual general meeting on 22 September 2022. The plan permits a maximum of 13,82,256 shares and is implemented through the employee welfare trust. The structure allows the trust to acquire newly allotted shares from the company and subsequently transfer them to eligible employees when vested options or RSUs are exercised.
The latest issuance follows another allotment under the same plan earlier in 2026. On 3 February, Indoco allotted 55,700 shares to the ESOP Trust, which increased the number of equity shares to 9,23,03,605. That figure became the starting share count for the latest allotment.
The 27 October transaction therefore represents a further incremental increase in Indoco Remedies' equity base under its employee stock compensation programme. The filing does not announce a public fundraise or a fresh offer to outside investors. The newly issued shares remain with the ESOP Trust until the conditions for transfer to eligible employees are met.
