Zen Technologies Transfers 2,000 Shares to Employees Under ESOP Plan

Zen Technologies has transferred 2,000 equity shares to eligible employees following the exercise of options granted under its Employee Stock Option Plan 2021. 

The shares were transferred on October 7 from the Zen Technologies Employees Welfare Trust, which was set up to implement the company’s employee stock option scheme. 

The exercise price was ₹100 per share, with each share carrying a face value of ₹1 and a premium of ₹99. 

Shares Transferred After Vesting Period 

The employees receiving the shares had been granted options earlier under the company’s 2021 ESOP plan. 

The latest transfer took place after the applicable vesting periods were completed and the eligible employees exercised their options. 

Unlike a fresh allotment of shares, the transaction involved shares already held by the Employees Welfare Trust. As a result, Zen Technologies said there has been no change in its paid-up share capital. 

The company continues to have 9,02,90,356 equity shares after the transfer. 

No Lock-In on Transferred Shares 

The 2,000 shares transferred to employees will have the same rights as Zen Technologies’ existing equity shares. 

There is no lock-in attached to these shares. 

The company also confirmed that the shares are identical in all respects to its existing equity shares and are already covered under the same ISIN, INE251B01027. 

Part of Zen Technologies’ 2021 Employee Stock Option Plan 

The October 7 transaction forms part of the Zen Technologies Limited Employee Stock Option Plan 2021. 

The company has made similar transfers under the scheme earlier as employees completed their vesting periods and exercised their options. Exchange records show ESOP-related share transfers were also disclosed by Zen Technologies in August and September 2026. 

The latest disclosure is limited to the transfer of shares under the employee stock option scheme. It does not announce a fresh capital raise or an increase in the company’s equity base. 

For shareholders, that is the key point from the filing: 2,000 existing shares have moved from the Employees Welfare Trust to eligible employees, while Zen Technologies’ overall issued share capital remains unchanged.
