India Exposition Mart Ltd, an integrated exhibitions and conventions venue, has filed its preliminary papers with SEBI to raise funds worth Rs.600 crore through an initial public offering. The issue comprises of a fresh issue of equity shares aggregating up to Rs.450 crore and an offer-for-sale (OFS) of up to 1.12 crores equity shares by existing shareholders
Participants’ list for OFS includes Vectra Investments, MIL Vehicles & Technologies, Overseas Carpets, RS Computech, Navratan Samdaria, Dinesh Kumar Aggarwal and Pankaj Garg.
The company may consider a private placement of equity shares aggregating up to Rs.75 crore which will diminish the actual issue size.
Emkay Global Financial Services is the sole book-running lead manager and Kfin Technologies is the registrar to the offer.


Objective of the Issue
From the Rs.450-crore fresh issuance, the proceeds will be used for:  

1. about Rs.316.91 crore for funding capital expenditure requirements for expansion of its existing infrastructure facilities,
2. Rs.17 crore for the payment of debt, and for general corporate purposes

The venue planner and provider has approximately 15 years of experience in the management and organisation of exhibitions and trade fairs. It has also managed and organized various exhibitions and conventions including Indian Handicrafts and Gifts Fair, Elecrama, Auto Expo – The Motor Show, CPHI&P-MEC and Print Pack, which are some of the most prominent events in India.
Located in Greater Noida, a prominent MICE destination in India, its exhibition centres and mart are spread across 58 acres of land, offering technology-driven, world-class facilities and safety standards for worldwide business-to-business exhibits, conferences, congresses, product launches, and promotional events, among other things.
The firm also organises exhibitions such as 'India International Hospitality Expo' and 'Ayuryog Expo' which has been developed by them. The firm also has memberships with leading global and national industry associations and has managed events such as 6th Regional Comprehensive Economic Partnership and United Nations Convention to Combat Desertification, Conference of Parties-14.
