Waaree Energies disclosed that the Gujarat Pollution Control Board issued a closure direction for its Degam solar cell manufacturing facility on January 28, 2026.
The direction was revoked before taking effect, and the company stated that there had been no disconnection of power or water supply to the facility.
Waaree paid ?9 lakh in interim environmental damage compensation and furnished bank guarantees totalling ?8 lakh, while its application for permanent revocation remains pending.
Waaree Energies Limited has disclosed that the Gujarat Pollution Control Board (GPCB) issued a closure direction for its solar cell manufacturing facility at Degam in Gujarat earlier this year. The company clarified that the direction was revoked before it became effective and did not result in a shutdown of the facility.
In a stock exchange filing dated October 29, 2026, Waaree provided details of the regulatory proceedings, including the original closure direction, subsequent revocation orders and corrective measures undertaken by the company.
The disclosure concerns the company's solar cell manufacturing facility at Village Degam, Taluka Chikhli, in Gujarat's Navsari district.
Why Did GPCB Issue a Closure Direction?
The Gujarat Pollution Control Board inspected the Degam facility on January 6, 2026, under Section 23 of the Water (Prevention and Control of Pollution) Act, 1974.
During the inspection, the authority recorded non-compliance with provisions of the Water Act and conditions attached to the facility's Consolidated Consents and Authorisation (CCA).
Following the inspection, GPCB issued a closure direction on January 28, 2026, under Section 33A of the Water Act.
The direction required the prohibition of manufacturing activity and closure of operations at the facility. It was scheduled to become effective 15 days after its issuance.
Waaree stated that it undertook remedial measures in response to the findings.
Closure Direction Revoked Before Implementation
On February 11, 2026, GPCB revoked the closure direction for three months.
The revocation was issued before the original direction became effective.
As a result, the closure direction was never implemented, and the facility did not face disconnection of electricity or water supply on account of the order.
The regulator conducted another inspection on May 26, 2026.
Following that inspection, GPCB issued an order dated June 17, 2026, extending the revocation for another six months.
The extension was subject to conditions, including compliance with the facility's Consolidated Consents and Authorisation by December 2026.
Waaree had separately applied for permanent revocation of the closure direction on May 8, 2026. That application remained pending with GPCB at the time of the latest disclosure.
The distinction between temporary and permanent revocation is important. Although the original direction did not take effect, the regulatory matter has not yet been permanently closed.
Waaree Pays ?9 Lakh Environmental Compensation
As part of the regulatory proceedings, Waaree Energies paid interim environmental damage compensation of ?9,00,000.
The company also furnished bank guarantees aggregating ?8,00,000.
These amounts were disclosed alongside the corrective measures taken following GPCB's inspection.
Waaree stated that the matter had not caused any material impact on its financial position or operations, apart from the environmental compensation and bank guarantees.
The company did not report a production shutdown, loss of manufacturing capacity or interruption to the facility's utility connections arising from the closure direction.
Company Explains Delay in Stock Exchange Disclosure
Waaree also acknowledged that the information had not been disclosed to the stock exchanges when the regulatory orders were originally received.
According to the company, the closure direction and subsequent communications were received and handled by the facility's operations and environmental teams.
The matter was not escalated to the company's compliance officer through the appropriate internal process at that time.
Waaree expressed regret over the delay and stated that it had strengthened its internal systems for escalating communications received from regulatory and statutory authorities.
The changes are intended to improve the reporting of such matters from operating locations to the company's central compliance function.
Permanent Revocation Application Still Pending
The regulatory position remains subject to GPCB's consideration of Waaree's application for permanent revocation.
The latest extension, issued on June 17, 2026, provides a further six-month period of revocation, subject to the prescribed conditions.
Compliance with the CCA requirements by December 2026 is among those conditions.
Waaree has stated that it will disclose further developments in accordance with Regulation 30(7) of SEBI's Listing Obligations and Disclosure Requirements Regulations, 2015.
For now, the company's disclosure establishes that the closure direction did not take effect and that it has reported no material operational impact from the matter. The application seeking permanent revocation, however, remains unresolved.
